Company Dissolution. This procedure can also be known to be voluntary dissolution. This allows the removal of the company from the Companies House Register; it is a provision in the Companies Act, generally when the company is non-trading. If for any reason a company serves no useful intention its dissolution discards the commitment for filing annual returns and accounts. Do keep in mind that the company will only be discontinued (taken out from the Companies House Register), if the following conditions apply:

The company has no records of trading for three months. The company no longer have assets or property or cash at bank. The creditors must be informed requesting their permission for the company to be dissolved under this action. Creditors are given three months to examine the request to dissolve the company and may reject this request. The company will not be able to change its name during this period. The company will not have discarded any property or assets as yet (this may consist of land and buildings, plant and equipment, debtors and other assets).

Advantages of Dissolution. This can be a quite fast, cost-effective and clean struck-off of a dormant (non-trading) company from the registrar of companies. Dissolution avoids further questions about property, debts and liabilities that may be shared between shareholders, it also avoids expensive costs of liquidation. It deflects an investigation into the conduct of the directors as demanded in liquidation or receivership.

Disadvantages of Dissolution. Permission is required to proceed with dissolution form creditors which may reject the application. Any shareholder, creditor or liquidator can apply to console the company for up to 20 years of dissolution. But they may console the company if the following applies: notice sent to creditors was not given correctly or sufficiently. It will start to become known that company might have been trading during the three months period prior to making application to dissolve. It will become clear known that some fraud, misfeasance or other unjust action was committed by the company or the directors before or during the dissolution process.

From a creditors' outlook, dissolution diverts from a formal investigation and turns to the director's conduct. Dissolution does not afford an investigation into past if any transactions such as a preference; transactions defrauding creditors or basic fraud have been committed conduct. A company will either be liquidated voluntarily or compulsorily if the creditors are of the opinion that such transactions may have occurred they can of course refuse permission. What is a Section 652 Application?

A section 652 application is used to have a company struck off the Companies House Register and dissolved. This is so named as the relevant law is dealt with in the Companies Act 1985, Section 652 and Sections 652A to 652F.

The 652 procedure is not a formal insolvency process. Its purpose is to remove a company that is no longer trading from the Register.

However it can be used if a company is insolvent and has minimal assets which when realised would not meet the costs of a creditors voluntary liquidation, as the minimum cost for a creditors voluntary liquidation is in the region of £4,000. A section 652 application can be done at a lower cost and also demonstrates that the directors knowing the company can not repay their creditors and no longer continue to trade, are taking action to bring the company to an end.

Directors who make a Section 652 Application, must be aware that creditors may object to the strike off and take action to have the company placed into Compulsory Liquidation.

. In order that a company can apply for strike off, Companies House specifies the following:-

"A private company can apply to be struck of it, in the previous three months, it has not:

* traded or otherwise carried on business;

* changed its name;

* for value, disposed of property or rights that, immediately before it ceased to be in business or trade, it held for disposal or gain in the normal course of its business or trade; or

* engaged in any other activity except one necessary or expedient for making a striking-off application, settling the company's affairs or meeting a statutory requirement.

A company cannot apply to be struck off if it is the subject, or proposed subject, of:

* Any insolvency proceedings (such as liquidation, including where a petition has been presented but has not yet been dealt with);

* or a Section 425 scheme (that is a compromise or arrangement between a company and its creditors or members)."

How to apply

Application is made by completing a Form 652a from Companies House which must be signed by sole director if only one, both directors if only two, or a majority of the directors if more than two and returned with a fee of £10.

Within seven days of sending the form to the Registrar, all members, creditors, Crown departments, employees and any directors who have not signed the form should be circulated with full information as to the company assets and liabilities and should copy to them the letter that was sent to the Registrar of Companies.

Creditors should be invited to petition for the winding up of the company as an alternative. In most cases creditors would not wish to take up this option as to do so would involve them in material court cost which they could not substantially recover.

Objections

The Registrar will place an notice in the London Gazette, inviting objections to the proposed strike off. Any interested party may object, but this must be done in writing, with evidence to support the objection.

If no objections are received, three months after the date of the notice, a further notice will be placed in the London Gazette and the company will be removed from the Register.

It means one of the creditors - either Vaughan or the Inland Revenue as these will be the primary creditors - have filed a notification of strike-off action (see the new entry as of 24.04.09) in the London Gazette. The London Gazette is where all bankruptcies/insolvencies/notices of insolvency are published. This basically means one of the creditors has initiated insolvency proceedings. CCFC Ltd have a period of time to respond, but it is basically the first step into administration.

I've covered this in another post but the concern is that as CCFC are debt-heavy and asset-poor and as low crowds mean not much chance of an increase in income in the future, it seems likely the administrators would push for liquidation, so that the creditors can claw back as much as they can from a fire-sale of what little assets the club posseses.

Yes.

I think the only interested buyers would be those who have an empathy with the club. Impartial investors are just not going to be attracted to an assetless club with low crowds and big debts, even after the CVA has knocked off the best part of the debt.

The only investors with an empathy with the club - rather than those seeking business opportunities - would probably be the trust. But the trust has no money and is not likely to be able to raise finance at this time.

I reckon the best thing for the trust to do is to start planning a 'pheonix' club, basically an AFC Chester.

I thought that this wasn't the company that owned us any-way? I thought it was Cestrian Trading or something like that. It's pretty confusing that Companies House has a number of companies with Chester FC, Cestrian this and that and different variants in their name.
Does anyone know which company we should be looking out for as a signal of trouble?

It all depends on which company actually owns the football club and as far as i'm aware its not this one.

Then again,lets all have a right guess at whats happening.

Either way,its all tits up.

The problem CB is that many fans have drifted away because, in my opinion quite rightly, they don't believe that the money they hand over at the turnstile has any true relevance to the finances at the club. Didn't SV himself say at the AGM that it's none of our business?

If and when this club has a true and honest custodian then it will be a time to judge wether or not this City deserves a football club. At that time it will be the likes of me and many others to put up or shut up. Let's hope we get given that opportunity.

Yes.

I think the only interested buyers would be those who have an empathy with the club. Impartial investors are just not going to be attracted to an assetless club with low crowds and big debts, even after the CVA has knocked off the best part of the debt.

The only investors with an empathy with the club - rather than those seeking business opportunities - would probably be the trust. But the trust has no money and is not likely to be able to raise finance at this time.

I reckon the best thing for the trust to do is to start planning a 'pheonix' club, basically an AFC Chester.


could sv re-buy the club and in the process pay only a fraction of the clubs debts - then start with a clean slate ?
